Short Answer

Yes the company does sell shares in order to raise the working capital needed to develop the business. Any potential shareholder would have to meet the critieria set out in our shareholder agreement and be prepared to sign the shareholder agreement. The company and the board look carefully at all those expressing an interest in owning shares. The objective is to attract the right type of shareholders that support our mission and purpose.

Technical Answer

There is a formal process for application including specific declarations needed by the potential shareholder regarding their status as a self certified sophisticated investor or a self certified high networth individual. These declarations have precise legal defintions under the financial services act. We cannot accept investment from any individual who does not qualify under these definitions. Our shares also attract Enterprise Investment Scheme Tax relief from HMRC for qualifiying individuals and we expect to qualify for the Social Investment Tax Relief scheme. The share price is set from time to time by the company based on our own valuation of the business using a number of factors.
